I think they are continuing to conflate terms, perhaps unintentionally, as the legal structure of a future PIR seems as uncertain to Ethos Capital as it is to us.

Presumably PIR will be reconstituted in Delaware, as that is where Ethos Capital is incorporated, and Delaware has a "Public Benefit LLC" that is separate and distinct from incorporation as a benefit corporation or B Lab's B Certification. The first article I found when searching to try to find the difference was by a law professor at Columbia entitled, "Introducing the Totally Unnecessary Benefit LLC."

Essentially it only binds you to being a socially conscious business for two years, and then you can revoke it or change to being an LLC with the vote of 2/3 of your members (not sure who is considered a member).
