Hi Lori,

Thank you for contacting Melissa. I am looking forward to us working
together in the mediation process to allow us to appoint a suitable
candidate to the Board.

Let me try to clarify my statement on compromise that puzzles you. We
agree that we both want to achieve a common compromise. For you that
seems to be a one-shot thing, in the hope that we could achieve a set of
fixed rules that would minimise the need for continuous negotiation and
compromise. What we are seeking is continuous cooperation, finding
acceptable compromises in each situation. In the 2018 agreement, which
was mostly CSG-driven, the intent was never a "battle of candidates",
but a process where NCSG and CSG could jointly agree on a mutually
acceptable candidate. Any change towards a model that somehow rotates
the turn to appoint between the CSG and NCSG has a tendency to lead to a
polarised situation. Thus what you see as a flaw in the agreement is in
our view actually a positive feature, and we don't see any need to
change it.

I hope this clarifies my intent.

In any case, any possible renegotiation of the agreement is outside the
scope of the mediation process and the immediate task of appointing
Board seat 14 this year.

We think that the 2018 agreement, mutually agreed to by both NCSG and
CSG, works well as long as both parties respect both the spirit and the
letter of the agreement. We feel that you "reserving the right" to
interview our  proposed compromise candidate while keeping all three
candidates (your candidate Mark, as well as our primary candidate
Matthew suggested alternative Rafik), but above all the Board, the ICANN
organisation and the whole community waiting in uncertain situation is
not respecting the spirit of the agreement.

For the best of all of ICANN and the community, our priority is to
appoint a candidate to Board seat 14 as soon as possible, and we are
hoping a focused mediation process will help us achieve that goal.
